Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Hank application, the website at www.tellhank.com, and related services (collectively, the “Service”), provided by Hank Technologies Inc. (“Hank,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Hank is a voice- and text-based tool that helps construction field teams capture, structure, and submit daily logs, including by exchanging text messages and connecting to third-party systems of record such as Procore or Autodesk Construction Cloud (ACC). We may change, suspend, or discontinue any part of the Service at any time.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for all activity under your account. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. SMS / Text Messaging Terms

By providing your mobile phone number and opting in—through the Hank app during onboarding, by submitting your number to us, or by texting Hank—you consent to receive recurring text messages from Hank related to your use of the Service.

  • Program description. Hank sends conversational, account-related text messages, including acknowledgments and confirmations of your daily logs, follow-up questions needed to complete a log, and related service notifications. This is not a marketing program.

  • Message frequency. Message frequency varies and depends on your activity and interactions with the Service.

  • Cost. Message and data rates may apply.

  • Opt out. You can cancel the text messaging service at any time by replying STOP to any message. You may also use the keywords STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT. After you opt out, we may send a single confirmation message, after which you will no longer receive text messages from Hank unless you opt in again.

  • Help. Reply HELP for help, or contact us at support@tellhank.com.

  • Carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your wireless carrier and is not guaranteed.

  • Privacy. Your information is handled in accordance with our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes; text messaging opt-in data and consent will not be shared with any third parties.

4. Acceptable Use

You agree not to:

  • Use the Service in violation of any law, regulation, or carrier or messaging requirement;

  • Submit content that is unlawful, infringing, harmful, or that you do not have the right to submit;

  • Attempt to gain unauthorized access to the Service, interfere with its operation, or probe or test its security;

  • Use the Service to send unsolicited or unauthorized messages; or

  • Reverse engineer, resell, or misuse the Service.

5. Your Content

You retain ownership of the log content, recordings, transcripts, messages, and other materials you submit (“Your Content”). You grant Hank a worldwide, non-exclusive license to host, process, transmit, display, and use Your Content as needed to provide and improve the Service, including transmitting it to integrations you authorize. You are responsible for Your Content and for having the rights necessary to submit it.

6. Third-Party Services

The Service integrates with third-party platforms (such as Procore, ACC, and messaging providers). Your use of those services is governed by their own terms and policies, and we are not responsible for them. When you authorize an integration, you direct us to exchange the data necessary to operate it.

7. Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by Hank and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LOGS OR MESSAGES WILL ALWAYS BE DELIVERED OR ACCURATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Hank from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in California, unless otherwise required by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after an update means you accept the revised Terms.
